La transposición de la citada directiva sobre asimetrías híbridas se ha estructurado a través del Real Decreto-Ley 4/2021, de 9 de marzo

La Directiva 2016/1164 referente a la regulación sobre las asimetrías híbridas para evitar la elusión fiscal en operaciones vinculadas, se ha transpuesto al ordenamiento jurídico interno de España, a través del Real Decreto Ley 4/2021 de 9 de marzo, el cual se publicó en el BOE el 10 de marzo de 2021, y entró en vigor el día 11 de marzo del año en curso. Así, la incorporación de la citada directiva al ordenamiento jurídico interno se estructura a través de la incorporación de reformas a la Ley 27/2014, de 27 de noviembre, del Impuesto sobre Sociedades (en adelante, “LIS), y mediante la introducción de distintos cambios al Real Decreto Legislativo 5/2004, por el que se aprueba el Texto Refundido de la Ley del Impuesto sobre la Renta de No Residentes (en adelante, “LIRNR”). En concreto, el primer artículo del Real Decreto 4/2021 regula las modificaciones a la LIS, mientras que el segundo, regula aquellas aplicables a la LIRNR.

Adicionalmente, es relevante añadir que las mencionadas modificaciones, se aplicarán a los períodos impositivos que inicien a partir del 1 de enero de 2020.

Concepto de asimetrías híbridas, regulación anterior y regulación actual:

Si bien el concepto de asimetrías híbridas es reciente, estaba previamente regulado en el artículo 15.j de la LIS. El mismo recoge una regla primaria mediante la cual no es deducible un gasto que corresponda a operaciones realizadas con entidades vinculadas en el sentido del artículo 18 de la LIS que, como consecuencia de una calificación fiscal distinta de ese gasto en la entidad vinculada, no generen un ingreso, o generen un ingreso exento, o sometido a un tipo de tributación inferior al 10 por ciento.

A partir de la entrada en vigor del Real Decreto-Ley 4/2021, se deroga el artículo 15.j anteriormente mencionado, y se introduce el artículo 15.bis. Este artículo se divide en trece puntos y recoge las diferentes clases de asimetrías: los casos en los que resulta de aplicación el nuevo precepto y los casos en que no, así como las situaciones en que un ingreso genera renta de doble inclusión. En definitiva, el nuevo artículo mantiene la regla principal a tenor de la cual no es deducible un gasto cuando no genera un ingreso para la entidad vinculada, e introduce una regla secundaria con arreglo a la cual se permite la inclusión del ingreso, siempre que se haya permitido la inclusión del gasto (doble inclusión).

Ámbito de aplicación del artículo 15.bis de la LIS:

Para finalizar, es pertinente recordar el ámbito de aplicación del artículo 15.bis de la LIS:

  • Operaciones realizadas con entidades vinculadas en el sentido del artículo 18 de la LIS.
  • Operaciones desarrolladas en el marco de un mecanismo estructurado. Se considera mecanismo estructurado todo acuerdo, negocio jurídico, esquema u operación, en los que la ventaja fiscal derivada de alguna de las asimetrías híbridas esté cuantificada o diseñada para producir los resultados de dichas asimetrías, salvo que el contribuyente o la entidad vinculada relacionada a éste, no hubiera podido conocer razonablemente la determinada operación generando los efectos propios de determinada asimetría fiscal.
